1. About Sohaya
Sohaya ("Platform") is an entertainment marketplace operated by Sohaya Entertainment Pvt. Ltd. ("Company", "we", "us"). We act as an intermediary connecting clients seeking entertainment services with independent artists, bands, DJs, photographers, and other entertainment providers ("Providers"). We are not an employer, agent, or representative of any Provider.
2. Accounts
You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your credentials. Multi-role accounts (client + provider) are supported. You may not create duplicate accounts or impersonate others.
3. Platform Fee
Sohaya charges a platform service fee on bookings. This fee is included in the total price displayed to clients. The exact fee percentage varies by event type and provider tier. Founder artists enjoy special commission rates as part of the founding program.
4. Client Obligations
Clients agree to: (a) provide accurate event details; (b) pay the agreed amount on time; (c) provide a safe and suitable venue for performers; (d) not request services that are illegal or inappropriate; (e) treat Providers with respect and professionalism.
5. Provider Obligations
Providers agree to: (a) deliver the services as described; (b) arrive on time at the agreed venue; (c) maintain professional conduct; (d) accurately represent their skills, experience, and availability; (e) respond to booking requests promptly; (f) not solicit clients outside the platform for services initially booked through Sohaya.
6. Payments
All prices are in Indian Rupees (INR). Payments are currently processed via UPI. Razorpay integration is available for select transactions. By making a payment, you agree to the amount shown at checkout. Payment verification is handled by the Sohaya admin team.
7. Cancellations & Refunds
Cancellation and refund terms are detailed in our Refund Policy. Both clients and providers may cancel bookings subject to the terms outlined therein.
8. Intellectual Property
Providers retain ownership of their original content (photos, videos, audio). By uploading content to Sohaya, Providers grant us a non-exclusive license to display and promote it on the platform. The Sohaya brand, logo, and platform design are the property of the Company.
9. Dispute Resolution
In the event of a dispute between a client and provider, Sohaya will mediate in good faith. Our platform dispute resolution team will review evidence from both parties. The Company's decision in disputes is final. For unresolved matters, disputes shall be subject to arbitration in Mumbai, India.
10. Limitation of Liability
Sohaya is a marketplace intermediary. We do not guarantee the quality, safety, or legality of services provided by Providers. Our maximum liability is limited to the platform fee collected on the relevant transaction. We are not liable for losses arising from Provider no-shows, service quality disputes, or force majeure events.
11. Governing Law
These terms are governed by the laws of India. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
